Terrasoft Ukraine strengthens the Legal Department team and announces an opening of Lawyer position.

Main responsibilities:

• Creation of both standard and non-standard license agreements drafts, contracts on creation and supply of software products, provision of technical support services agreements, agency contracts as well as other boilerplate agreements used by the group of companies while selling its software products and related services to customers and partners
• Legal analysis of incoming agreements from different suppliers, introduction of amendments, negotiation on amendments introduced and subsequent approval of contracts, agreements and other documents needed for the group of companies to successfully operate in jurisdictions where the group has presence
• Drafting of different statements of claims and responses to such statements of claims, lawsuits and objections to such lawsuits as well as other documents used in pre-trial settlement of disputes or during subsequent litigation
• Representation of the group of companies in courts of various instances and jurisdictions
• Legal analysis and preparation of briefs concerning legality / reasonableness of incoming requests from government and regulatory agencies, including those concern actual labor relationship inspections rendered in Ukraine
• Legal support and advice during the group of companies participation in procurement and tender procedures in Ukraine and abroad
• Legal support of the group of companies during financial audit
• Drafting of corporate documents for legal entities in accordance with the requirements of the jurisdictions where the group has presence
• Legal analysis in relation to existing as well as development of new internal corporate documents and local regulations of the group of companies
• Participation in negotiations with customers and suppliers of the group of companies to be rendered in Russian, Ukrainian and English, including managing such negotiations, preparation of minutes with the lists of points to be discussed and negotiated, working with agreements drafts in track changes and comments mode to reflect all the amendments that need to be introduced or removed and why
• Ad-hoc tasks as assigned by either the head of the legal department / director

Requirements:

• Education — university degree in law, preferable specialization — civil law, intellectual property law
• Work experience — 2 years +
• English — Upper Intermediate (including legal English, preparation of boilerplate drafts, ability to freely conduct written negotiation with counterparts’ lawyers as well as corporate services providers in different jurisdictions)
• Good practical knowledge of civil, commercial, labor, tax, corporate and procedural laws of Ukraine
• Good practical knowledge of the basics aspects of corporate, contract and tax laws of Cyprus / UK / USA / RU as well as proven experience of legal support of foreign companies 
• Ability to work with large amounts of information
